Associate General Counsel - Boutique Investment Bank

A Boutique Investment Bank in NYC is seeking an attorney to support Equity Capital Markets transactions. Reporting directly to the General Counsel, this individual will be joining a lean legal team and will have the opportunity to work closely with senior leadership and business deal teams on a variety of high-stakes and strategic transactional matters.

The firm is located in midtown Manhattan, and the in-office requirement is 5 days a week.

Responsibilities:

• Structure, negotiate, and execute investment banking transactions; primarily capital raises, joint ventures, and other Equity Capital Markets transactions.
• Conduct transactional due diligence for corporate transactions, draft and review transactional documentation; letters of engagement, purchase agreements, promissory notes, etc.
• Navigate regulatory compliance matters and advise deal teams accordingly; ensure transactional compliance with SEC, FINRA, etc.
• Draft, review, and negotiate commercial contracts and ancillary documentation; vendor agreements, service contracts, licensing agreements, etc.
• Support corporate governance matters; sit in on board and committee meetings, prepare meeting documentation, etc.
• Advise business leaders on legal and regulatory matters as related to ongoing transactions and strategic investments.

Requirements:

• Juris Doctor or equivalent; admitted to practice law in the State of New York.
• 4+ Years of Experience handling transactions; securities, investment banking, capital markets, etc.
• Familiarity with capital markets and relevant regulatory matters.
• Ability to work cross-functionally and communicate effectively.
• Strong organizational skills; ability to multitask while also working efficiently and meeting tight deadlines
• Proficiency in Mandarin is considered a significant plus
